Terms of Service

Welcome to Stoki! These Terms of Service ("Terms") govern your access to and use of the Stoki mobile application and related services (collectively, the "Service"). Please read these Terms carefully before using our Service.

1. Acceptance of Terms

By downloading, installing, accessing, or using Stoki, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Service.

You must be at least 18 years old to use Stoki. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Description of Service

Stoki is a mobile application that provides tools for managing stokvels (community savings groups), including but not limited to:

• Tracking member contributions and payments
• Managing loans and repayments
• Organizing payouts and distributions
• Group member management
• Financial reporting and analytics
• Communication tools for group members

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Violate any third-party rights, including intellectual property rights
• Transmit any harmful code, viruses, or malicious software
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use the Service to harass, abuse, or harm others
• Impersonate any person or entity
• Collect or store personal data about other users without permission
• Use automated systems to access the Service without authorization

5. Financial Transactions

5.1 Payment Processing

Stoki may facilitate financial transactions through third-party payment processors. We are not a bank or financial institution and do not hold funds. All transactions are processed by licensed payment service providers.

5.2 Transaction Responsibility

You are solely responsible for:

• All transactions initiated through your account
• Ensuring the accuracy of transaction details
• Verifying recipient information before sending payments
• Complying with applicable financial regulations

5.3 Disputes

We are not responsible for disputes between users or stokvel members regarding financial transactions. You agree to resolve such disputes directly with the relevant parties.

6. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Stoki and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble the Service
• Remove any proprietary notices or labels
• Use our trademarks or logos without permission

7. User Content

You retain ownership of any content you submit, post, or display through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your User Content solely for the purpose of providing and improving the Service.

You are solely responsible for your User Content and represent that you have all necessary rights to grant us the license described above.

8. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

9. Disclaimers

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Service is free of viruses or other harmful components
• The results obtained from using the Service will be accurate or reliable

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOKI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Stoki and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and data
• All provisions of these Terms that by their nature should survive termination shall survive

You may terminate your account at any time by contacting us or using the account deletion feature in the app.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms in the app
• Sending you a notification
• Updating the "Last updated" date

Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in [Your Jurisdiction].

15. Severability
